Loreweaver Terms of Service

1. Eligibility

By using the Services, you represent that you are at least 13 years old. If you are under the age of 13, you are not permitted to use the Services. If you are between 13 and 18 years old, you may use the Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

2. Account Registration

• Discord Account: To use the Services, you must have a valid Discord account. By linking your Discord account to Loreweaver, you authorize us to access and use certain Discord account information in accordance with our Privacy Policy.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Use of the Services

• License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.
• Modifications: We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Services (or any part thereof) at any time, with or without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

4. User Conduct

You agree not to engage in any of the following prohibited activities:

• Illegal Activities: Using the Services for any unlawful purpose or in violation of any local, state, national, or international law.
• Harassment: Harassing, threatening, or defaming any individual or entity.
• Spam: Transmitting unsolicited promotional or advertising content.
• Interference: Interfering with or disrupting the Services or servers or networks connected to the Services.
• Data Mining: Using any automated system, including "robots," "spiders," or "offline readers," to access the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period of time.
• Impersonation: Impersonating another person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

5. Purchases and Credits

• Credits: Certain features of the Services may require the purchase of credits. Credits have no monetary value and cannot be redeemed for cash.
• Payment: All payments are processed via third-party payment processors. We do not store your payment information. By making a purchase, you agree to the terms and conditions of our payment processors.
• Refunds: All purchases are final and non-refundable unless otherwise required by applicable law. In the event of a service interruption or termination of your account due to a violation of these Terms, you will not be entitled to a refund.

6. Intellectual Property Rights

• Our Content: All content provided through the Services, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Loreweaver or its licensors and is protected by copyright, trademark, and other intellectual property laws.
• License Restrictions: You may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the content provided through the Services in whole or in part except as expressly authorized by us. You agree not to remove, obscure, or alter any proprietary rights notices (including copyright and trademark notices) that may be affixed to or contained within the Services.

7. Content You Provide

• User Content: You are solely responsible for any content you submit, post, or transmit through the Services ("User Content"). You represent and warrant that you have all necessary rights to submit, post, or transmit such User Content and that it does not violate any third party rights or applicable laws. When you submit Content to the Services, you represent and warrant that you own all right, title and interest in and to that Content (including, without limitation, all copyrights and rights of publicity), or that you have received all necessary permissions, clearances, and authorizations in order to submit it to the Services for the uses contemplated in these Terms.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Data Privacy

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and disclose information about you. By using the Services, you consent to our collection, use, and disclosure of information as described in our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOREWEAVER, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Loreweaver, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another.

13. Termination

• By Us: We reserve the right to suspend or terminate your access to the Services at any time, with or without cause and with or without notice, for any reason or no reason, including but not limited to your violation of these Terms.
• Effect of Termination: Upon termination, your right to use the Services will immediately cease. Any credits or virtual items associated with your account will be forfeited and not refunded or transferred. We may, but are not obligated to, delete any of your User Content upon termination.

14. Dispute Resolution and Arbitration

• Arbitration Agreement: You and Loreweaver agree to resolve any disputes through binding arbitration on an individual basis, rather than in court. This includes any claims arising out of or relating to these Terms, the Services, or your relationship with us.
• Arbitration Process: The arbitration will be conducted by the American Arbitration Association (AAA) under its rules. The arbitration will be held in [Your City, State], or another mutually agreed location.
• Class Action Waiver: You and Loreweaver agree that any proceedings to resolve disputes will be conducted on an individual basis and not in a class, consolidated, or representative action.

The Services are controlled, operated, and administered by Loreweaver from its offices within Canada. If you access the Services from a location outside of Canada, you are responsible for compliance with all local laws. You agree that you will not use the Services in any country or in any manner prohibited by any applicable laws, restrictions, or regulations.

18. Content Moderation

We reserve the right, but do not have the obligation, to monitor, edit, or remove any User Content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party's intellectual property or these Terms. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
